Welcome to ShowRevv, LLC ("Company," "we," "our," or "us"). Our website is located at tryshowrevv.com. By accessing or using our website, services, or opting into SMS messaging, you ("User," "Client," or "you") agree to be bound by these Terms of Service ("Terms" or "Agreement"). For the purposes of these Terms, "User," "Client," and "you" refer to the business or entity engaging ShowRevv, LLC’s services, such as a dealership, and do not refer to individual end-users (e.g., your customers) who may receive messages as part of our services. If you do not agree to these Terms, you may not use our services. These Terms govern your use of our fully managed, done-for-you automated workflow services, including AI-assisted automation, lead reactivation, and lead management, as well as any SMS messaging services you opt into. 2. Services Provided

ShowRevv, LLC provides fully managed, Done-for-You Automation Services, including but not limited to:

- AI-assisted Lead Reactivation and Management, typically with human oversight to ensure personalized and effective communication.

- AI-assisted SMS messaging using 10-digit long code (10DLC) phone numbers for application-to-person (A2P) messaging, typically combined with human monitoring and responses as needed.

- Third-party integrations with platforms such as OpenAI, Zapier, GoHighLevel, Lead Connector, n8n, Sendblue, and others to execute workflows.

- Sentiment Analysis and conversation logic to assist in managing interactions with prospects, such as dealership leads, while humans typically monitor and often directly respond to ensure accuracy and appropriateness.

Important: Our services use AI technologies as a tool to assist with personalization and to make mass outreach more effective. AI helps generate messages, analyze sentiment, and manage workflows based on Client Desired Outcomes, and we typically have humans monitor inboxes and craft responses, especially for dealership prospects, on behalf of the dealership. However, human monitoring is not guaranteed at all times, and some communications may be sent without immediate human oversight. Clients remain responsible for ensuring that all communications, whether AI-assisted or human-generated, comply with applicable laws and meet their Desired Outcomes.

2.1 Sublicensing of Technology

ShowRevv, LLC sublicenses certain workflows, automations, logic, and intellectual property (collectively, “Licensed Intellectual Property”) from a separate technology licensing company. This Licensed Intellectual Property includes Automated Workflows, Conversation Logic, AI Outputs, and related assets built on Third-Party Platforms, but does not include the Third-Party Platforms themselves (e.g., OpenAI, Zapier, GoHighLevel, Lead Connector, n8n, Sendblue, and others). ShowRevv, LLC uses this Licensed Intellectual Property to provide Done-for-You Automation Services and manage optimizations on your behalf. ShowRevv, LLC does not create or own the Licensed Intellectual Property and is not responsible for its development, maintenance, or any liabilities arising from its use, which are the responsibility of the technology licensing company.

3. SMS Messaging and Consent

By opting into SMS messaging on our website, you provide express written consent to receive SMS messages from ShowRevv, LLC, in accordance with the Telephone Consumer Protection Act (TCPA) and 10DLC standards. These messages may include lead reactivation updates, appointment reminders, or promotional offers related to our services, and may be AI-assisted or human-generated.

- Opt-In: You consent to SMS messaging by checking the “I agree” box and agreeing to these Terms and our Privacy Policy, available at https://tryshowrevv.com/privacy-policy-page.

- Opt-Out: You may opt out of SMS messaging at any time by replying “STOP” to any message or contacting us at [email protected]. Message Frequency and Costs: Message frequency may vary. Message and data rates may apply, depending on your mobile carrier.

4. AI-Assisted Messaging and Data Processing

By using our services, you acknowledge and consent to the following:

4.1 AI-Assisted Communications

- We use AI technologies (powered by OpenAI and other Third-Party Platforms) as a tool to assist in generating lead responses, performing Sentiment Analysis, and managing conversations with prospects.

- AI-generated messages and actions are used to enhance personalization and efficiency, and we typically have humans monitor communications. Many responses, particularly to dealership prospects, are crafted and sent by humans on behalf of the dealership to ensure accuracy and appropriateness. However, human monitoring is not guaranteed at all times, and some communications may be sent without immediate human oversight.

- Clients are responsible for ensuring that all communications, whether AI-assisted or human-generated, comply with applicable laws and meet their Desired Outcomes, regardless of whether a human is actively monitoring. Clients may request access to SMS conversations or AI Outputs for compliance purposes.

4.2 Data Processing and Third-Party Platforms

Client Data may be processed through Third-Party Platforms, including:

- OpenAI: For AI-assisted responses and Sentiment Analysis.

- Zapier: For automation workflows.

- GoHighLevel and Lead Connector: For CRM backend operations and messaging.

- N8n: For workflow automation.

- Sendblue: For SMS messaging services.

- And other platforms as necessary to deliver our services.

- We do not own or control these Third-Party Platforms and are not responsible for their performance, security, or legal compliance.

ShowRevv, LLC acts solely as a service provider (or data processor under applicable privacy laws, such as GDPR) with respect to Client Data. We process data only on behalf of Clients and in accordance with their documented instructions (e.g., Desired Outcomes). Clients, as data controllers, are responsible for determining the purposes and means of data processing.

5. Client Responsibilities and Compliance

By using our services, you agree to the following responsibilities:

- Legal Compliance: You are solely responsible for ensuring that your use of our services, including SMS messaging and AI-assisted or human-generated interactions, complies with all applicable laws, including but not limited to the TCPA, CAN-SPAM Act, CCPA, GDPR, and other privacy regulations. You must obtain all necessary consents (e.g., express written consent for SMS messaging) from data subjects before providing data to us.

- Customer Approval for Messaging: You are solely responsible for ensuring that you have obtained explicit approval from your customers for ShowRevv, LLC to message them on your behalf, whether as part of The No Brainer Trial, lead automation, or any other campaign. This includes obtaining and maintaining records of express written consent as required by the TCPA and other applicable laws. ShowRevv, LLC is not liable for any claims, fines, or damages arising from your failure to obtain such approval before sharing customer data with us.

- Prohibited Activities: You may not use our services for spam, illegal activities, misleading marketing practices, or any purpose that violates Third-Party Platform policies (e.g., OpenAI, Zapier, GoHighLevel, n8n, Sendblue, or others).

- Data Accuracy: You must provide accurate and lawful Client Data for processing.

- Proof of Compliance: We reserve the right to request proof of compliance (e.g., consent records) during onboarding or at any time, and you agree to cooperate fully with such requests.

Consequences of Non-Compliance: If you violate these Terms, applicable laws, or Third-Party Platform policies, we may suspend or terminate your access to our services without notice or refund.

6. Limitation of Liability

No Guarantees: We do not guarantee the accuracy, effectiveness, legality, or security of AI-assisted messages, Sentiment Analysis, conversation responses, or automated workflows, whether or not they are monitored by humans.

We are not liable for:

- Errors, misinterpretations, or unintended consequences of communications, whether AI-assisted or human-generated, regardless of whether a human is actively monitoring.

- Regulatory fines or penalties (e.g., TCPA, CCPA, GDPR violations) resulting from your use of our services.

- Failures, disruptions, or policy changes by Third-Party Platforms (e.g., OpenAI, Zapier, GoHighLevel, n8n, Sendblue, or others).

- Data breaches, hacks, or unauthorized access to Client Data on Third-Party Platforms.

- Issues arising from the Licensed Intellectual Property sublicensed to ShowRevv, LLC, including but not limited to its functionality, accuracy, or compliance with laws.

- Business losses, reputational damage, or any indirect, incidental, special, consequential, or punitive damages (e.g., lost profits, business interruption).

6.1 No Guarantee of Results

We do not guarantee specific results from our services, including during The No Brainer Trial. Any results advertised or projected are estimates based on our assumptions and past performance, and actual results may vary for each dealership. Performance is largely dependent on the quality of the Client Data you provide (e.g., valid phone numbers, valid email addresses), and we are not liable for poor performance due to inaccurate, incomplete, or invalid Client Data.

Liability Cap: Our total liability to you is limited to the amount you paid to us in the preceding three (3) months.

7. Indemnification

You agree to indemnify, defend, and hold harmless ShowRevv, LLC and its Member from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

- Your use of our services, including AI-assisted or human-generated messages, Sentiment Analysis, and automated workflows, whether or not they are monitored by humans.

- Your failure to comply with applicable laws (e.g., TCPA, CCPA, GDPR) or Third-Party Platform policies.

- Data breaches or security incidents on Third-Party Platforms.

- Your provision of inaccurate, unlawful, or unauthorized Client Data.

- Any errors or outcomes of communications, whether AI-assisted or human-generated, sent through our services, regardless of whether a human is actively monitoring.

- Any issues related to the Licensed Intellectual Property sublicensed to ShowRevv, LLC, including but not limited to its functionality, accuracy, or compliance with laws.

You acknowledge that you assume all risks associated with using our AI-assisted and human-monitored services.

8. Refunds and Cancellations

All sales are final, except as provided under The No Brainer Trial (if applicable, as defined in Section 12). We do not offer refunds for services rendered outside of The No Brainer Trial. You may cancel at any time by contacting us at [email protected]. Upon cancellation, you will continue to have access to the services until the end of your current billing cycle, after which your access will be terminated.

9. Termination of Service

We may terminate or suspend your access to our services, with or without notice, if:

- You violate these Terms, applicable laws, or Third-Party Platform policies.

- You engage in spam, fraudulent activity, or data misuse.

- Third-Party Platforms (e.g., OpenAI, Zapier, GoHighLevel, n8n, Sendblue, or others) discontinue support or suspend your access.

- You fail to pay fees owed to us.

Upon termination, we may delete your Client Data, subject to applicable legal retention requirements. We are not liable for any damages resulting from termination.

10. Arbitration and Dispute Resolution

10.1 Mandatory Arbitration

All disputes arising out of or relating to these Terms or our services shall be resolved through final and binding arbitration in Wyoming, under the rules of the American Arbitration Association (AAA). The arbitrator must have at least 10 years of experience in business law or technology disputes. Arbitration proceedings shall be confidential, and a decision must be rendered within 90 days of filing. All arbitration costs shall be borne by the non-prevailing party. The arbitrator’s decision is final and binding, with no right to appeal except as provided under the Federal Arbitration Act (FAA).

10.2 Class Action Waiver

You waive the right to participate in any class-action lawsuit or class-wide arbitration against ShowRevv, LLC. All claims must be brought on an individual basis.

10.3 Exceptions to Arbitration

The following claims are not subject to mandatory arbitration:

- Claims seeking injunctive relief for intellectual property breaches.

- Regulatory actions requiring court intervention.

10.4 Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any disputes or obligations related to the processing of Client Data shall also be governed by Wyoming law, to the extent permitted by applicable privacy laws.

11. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or via email. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

12. Definitions

- Client: The business or entity (e.g., a dealership) that engages ShowRevv, LLC’s services, provides Client Data, and sets Desired Outcomes for the purpose of Lead Reactivation and Management or other Done-for-You Automation Services. This does not refer to individual end-users (e.g., the Client’s customers) who may receive messages as part of our services.

- Client Data: Any data provided by the Client to the Company for processing, including but not limited to personal data, lead information, and Desired Outcomes.

- Desired Outcomes: High-level goals provided by the Client (e.g., “increase lead engagement”), specified via an onboarding form, serving as the basis for our services.

- AI Outputs: Content, responses, or data generated by AI technologies, used to assist in delivering services based on the Client’s Desired Outcomes and Client Data.

- Third-Party Platforms: Software or services provided by third parties (e.g., OpenAI, Zapier, GoHighLevel, Lead Connector, n8n, Sendblue, and others) that the Company uses to deliver services. ShowRevv's white labeled CRM by Go High Level can be found at app.tryshowrevv.com. This white labeled third party platform is utilized to provide ShowRevv Clients' a performance dashboard to track campaign metrics and results.

- Sentiment Analysis: The use of AI technologies to analyze and interpret the emotional tone or intent of communications, such as prospect conversations, as part of our services.

- Lead Reactivation and Management: The process of re-engaging dormant leads and managing active leads through AI-assisted and human-monitored communications, including SMS messaging, Sentiment Analysis, and conversation logic, to achieve Client Desired Outcomes.

- Done-for-You Automation Services: Fully managed services provided by ShowRevv, LLC, where we handle Lead Reactivation and Management, and related workflows on the Client’s behalf, using a combination of AI assistance and human oversight, without requiring the Client to directly access or manage the underlying platforms or technologies.

- ShowRevv DFY System: The proprietary system developed by a separate licensing company and sub-licensed out by ShowRevv LLC. It consists of AI-assisted workflows, conversation logic, and human oversight processes, used to deliver Done-for-You Automation Services to Clients.

- The No Brainer Trial: A performance-based trial period offered by ShowRevv, LLC, accessible at tryshowrevv.com/nobrainertrial, during which the Client may use our Done-for-You Automation Services with no upfront cost. The Client only pays if we deliver results that meet their Desired Outcomes, as specified at the time of enrollment. ShowRevv, LLC covers all costs, including SMS usage, subscriptions, and other expenses, to perform the services during the trial. If the Client is dissatisfied with the results, they may cancel during The No Brainer Trial without any payment obligation, as specified in the trial terms.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions will continue in full force and effect to the maximum extent permitted by Wyoming law.
